Anyplace Guest Agreement

This Guest Agreement (the “Agreement”) is made between Anyplace Inc. (“Anyplace”) and you, the “Guest.” The Agreement includes the Anyplace Guest Terms and Conditions (the “Terms and Conditions”) and any relevant addenda (“Addenda”), all of which are essential components of the overall agreement between Anyplace and the Guest. Collectively, these documents are referred to as the “Agreement.” Both Anyplace and the Guest agree to the following terms:
Right to Use the UnitAnyplace grants each guest (the “Guest”) the exclusive right to use the specified property (the “Unit”) as a private dwelling only, together with the fixtures and appliances in the Unit, for the below stated Term, subject to all of the provisions of this Agreement.
Term of OccupancyThe term of Guest’s occupancy of the Unit (the “Term”) will begin on the “Commencement Date” and end on the “End Date”. This Unit requires a minimum stay (a “Minimum Stay”), and therefore an early termination by the Guest will not be permitted unless the Minimum Stay period has been reached. Guest must vacate the Unit on the End Date. No modifications to the term dates, extensions, or early termination of the Term are permitted without the express written consent of Anyplace. Fees and penalties may apply.
Accommodation Fee and Additional ChargesThe Unit is subject to a base monthly fee (the “Accommodation Fee”), the monthly utilities fee (the “Utilities Fee”), and potential Additional Fees. The base monthly fee is subject to change based on the term dates. All such charges, whether payable prior to or after the Commencement Date, are collectively referred to as “Additional Fees”. The Accommodation Fee, Utilities Fee, and Additional Fees are sometimes collectively referred to herein as the “Guest Fees”.
DepositPrior to the Commencement Date, Guest shall pay a refundable deposit (the “Deposit”), if applicable, to be held against any unpaid Guest Fees and damages to the Unit, as further set forth in the Terms and Conditions.

Unless provided for elsewhere in this Agreement, Guests that elect to make their payments through Plaid’s bank transfer (“Bank transfer”) are exempt from providing a Security Deposit.
Assessment and Payment of DamagesBy agreeing to these terms, the guest (“User”) authorizes Anyplace (“the Company”) to charge their payment method for any damages or losses incurred during their stay. Generally, damages or losses up to $500 will be charged directly to the User. Any damages exceeding this threshold may be processed through an insurance claim. The Company will assess the damages to determine the appropriate course of action based on claim eligibility and the total amount of damages.
Payment and Due Dates1. At the time of execution of this Agreement, Guest has made an initial payment to be applied toward the Accommodation Fee (the “Initial Payment”) and completed the ID, background checks, provided proof of income and any supportive documentation. Therefore, Anyplace is able to reserve the Unit for Guest’s use during the Term. Upon the full execution of this Agreement and Anyplace’s receipt of the Initial Payment, Guest is deemed to have a “Reservation” for the Unit. Anyplace may retain some or all of the Initial Payment in accordance with Anyplace’s Cancellation Policy. 2. Guest agrees to pay all fees outlined in the payment schedule (the “Payment Schedule”) on or before the due dates specified. Any payment not made within three (3) calendar days of the due date, as specified in the Payment Schedule, will incur a $50.00 late payment fee.If the Guest is late with payments on three (3) separate occasions within any twelve (12) month period, it will be classified as ”Habitual Late Payment.” Habitual Late Payment constitutes a breach of this Agreement and, subject to applicable law, may result in termination of the Agreement and require the Guest to vacate the Unit. Payment of the late fee will not negate the late status for purposes of determining Habitual Late Payment. Should the Guest fail to make payments in full when due, as specified in the Payment Schedule, time being of the essence, Anyplace reserves the right to immediately terminate this Agreement and the Guest’s Reservation without further obligation. 3. Payment is due as set forth in the Payment Schedule, without offsets, deductions, or credits. The Accommodation Fee for any partial month will be prorated at a rate of 1/30th of the monthly Accommodation Fee per day. 4. The Guest shall pay all Guest Fees when due via credit card or Automated Clearing House (ACH), in accordance with the terms of this Agreement. All credit card payments are subject to a 3.2% non-refundable surcharge, which applies even in the event of a booking cancellation.
Occupancy Tax PolicyNew YorkIn accordance with local regulations, occupancy taxes in the State and City of New York are determined by the total length of a guest’s stay and are calculated as follows:
  •   For stays of fewer than 90 consecutive nights, both state and city occupancy taxes apply. The total tax includes 14.75% of the total rental amount, plus a $3.50 per night city occupancy tax.
  •   For stays of 90 nights or more but fewer than 180 nights, only city occupancy taxes apply. The applicable tax includes 10.75% of the total rental amount, plus a $2.00 per night city occupancy tax.
  •   For stays of 180 nights or more, no short-term occupancy taxes apply. These longer-term stays are considered tax-exempt under local New York regulations.
Jersey CityIn accordance with local regulations, occupancy taxes in Jersey City, New Jersey are determined by the total length of a guest’s stay and are calculated as follows:
  •   For stays of fewer than 90 consecutive nights, applicable state and local occupancy taxes apply. The total tax includes 16.625% of the total rental amount, comprised of:
    •   6.625% New Jersey Sales Tax
    •   1% New Jersey State Occupancy Fee
    •   3% Meadowlands Hotel Assessment
    •   6% Jersey City Hotel Occupancy Tax
  •   For stays of 90 nights or more, no short-term occupancy taxes apply. These longer-term stays are considered tax-exempt under New Jersey regulations.

Please note: Date changes made before or during the stay (including extensions or reductions) will trigger a recalculation of applicable taxes based on the updated length of stay and corresponding tax tier. Taxes will be adjusted according to local tax laws and internal policies. When a stay crosses tax thresholds, refunds resulting from threshold changes will be issued only after the guest completes the required number of nights in the unit for that threshold.In all cases, tax obligations will be recalculated based on the actual length of stay, and guests agree to pay any resulting difference in taxes as outlined above.
Tax Adjustments and RefundsWhen date changes result in a different tax calculation, the following process applies:Tax Reduction Scenarios:
  •   Immediate adjustment: If your stay is extended or modified to qualify for a lower tax tier or tax-exempt status, taxes will stop being charged at the higher rate starting in the next billing cycle following the update.
  •   Credit application: Any tax overpayments from previous billing cycles will be applied as a credit to your account after you have completed the required number of nights to qualify for the lower tax tier or tax-exempt status. Please note that all refunds will be reviewed and confirmed by our team, and a manual refund will be issued when applicable.
For New York stays extended to 180+ nights (tax-exempt status) or New Jersey stays extended to 90+ nights (tax-exempt status), the same process applies: taxes stop being charged in the next billing cycle after the modification, and refunds for previously paid taxes are issued after the applicable threshold is reached.Extension Cancellation: If you extend your stay to reach a lower tax tier or a tax-exempt status and subsequently cancel that extension, any taxes that are now due based on your revised length of stay will be charged immediately upon confirming the extension cancellation.
Authorization for ACH PaymentsGuest authorizes Anyplace to originate ACH transactions to their account for payment of Guest Fees. This authorization binds the Guest to the NACHA Operating Rules as they pertain to these transactions. Recorded evidence of this authorization is maintained, and the Guest agrees to be bound by all applicable provisions of the NACHA rules. Anyplace’s contact information for ACH transactions is as follows: support@anyplace.com.Processing Time for ACH Refunds: Anyplace will initiate ACH refunds promptly after determining that a refund is due. The Guest acknowledges and agrees that ACH transactions are processed by third-party financial institutions and network operators, not by Anyplace and that credit to the Guest’s account may require multiple banking days. In particular, a refund initiated by Anyplace may take up to ten (10) business days from the date Anyplace initiates the refund to appear in the Guest’s bank account. Business days exclude weekends and federal banking holidays. Anyplace cannot guarantee same-day credit and cannot accelerate, control, or otherwise influence the timing of crediting by the Guest’s bank or other third-party processors.Anyplace has no control over such holds or freezes and disclaims any responsibility for funds that are unavailable, held, frozen, returned, or otherwise delayed by the Guest’s bank or any third party during the refund process.Limitation of Liability; Third-Party Processing: To the fullest extent permitted by applicable law, Anyplace shall not be liable for any delay, error, omission, loss, fee, interest, chargeback, return, or other adverse consequence arising from or attributable to the actions or inactions of the Guest’s bank, an originating or receiving depository financial institution, the ACH network, or any other third party involved in processing ACH transactions or refunds. Anyplace’s sole obligation with respect to ACH refunds is to initiate the refund in accordance with these terms; Anyplace is not responsible for verifying the timing of credit to the Guest’s account, and Anyplace cannot assist in or expedite the internal procedures of any bank or payment processor.
Terms and Conditions and AddendaGuest’s occupancy of the Unit is subject to the terms of this Agreement, the Website Terms of Service, Anyplace’s Privacy Policy and any applicable Accommodation Agreements (if any). This Agreement constitutes a legally binding agreement between Anyplace and Guest, and Guest acknowledges that it has read, understands and agrees to all of the terms, conditions, policies and disclosures set forth in the Agreement.
